These Terms of Service (“Terms”) govern your access to and use of the websites, online store, products, medical devices, digital courses, educational materials, events, accounts, support services, and related offerings provided by Wasabi Method, LLC (“Wasabi Method,” “we,” “us,” or “our”). Collectively, these offerings are called the “Services.”

These Terms apply to wasabimethod.store and any other Wasabi Method website, checkout, course, event, or service that links to or incorporates these Terms.

Please read these Terms carefully before accessing the Services or completing a purchase.

1. Acceptance of These Terms

By accessing the Services, creating an account, purchasing a product, enrolling in a course, registering for an event, downloading material, or otherwise using the Services, you agree to be bound by:

• These Terms;
• Our Privacy Policy;
• Our Refund Policy;
• Any product warranty, course, event, shipping, financing, or program terms presented during checkout; and
• Any separately signed order, quotation, purchase agreement, financing agreement, or service agreement applicable to your transaction.

If you do not agree to these Terms, you may not use the Services.

If you use the Services or make a purchase on behalf of a clinic, company, healthcare organization, educational institution, or other entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and the organization.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services or make a purchase.

Certain products, devices, courses, demonstrations, and resources are intended exclusively for qualified healthcare professionals, healthcare students, researchers, educators, clinic owners, medical-device professionals, or other authorized professional users.

We may request reasonable evidence of:

• Your identity and age;
• Professional credentials or licensure;
• Academic enrollment;
• Employment or organizational affiliation;
• Authority to purchase for an organization;
• The intended location and use of a device; or
• Compliance with applicable purchasing or regulatory requirements.

You may not use the Services if doing so is prohibited by law, trade sanctions, export restrictions, professional regulations, or a prior suspension from Wasabi Method.

3. Shopify

Our online store is hosted by Shopify. Shopify provides the ecommerce platform through which we offer products and Services.

Your use of Shopify features, Shop Pay, accelerated checkout, or other Shopify consumer services may also be governed by Shopify’s applicable terms and privacy notices.

Information about how Shopify and Wasabi Method process personal information appears in our Privacy Policy.

4. Accounts and Account Security

You may be required to create an account to access purchases, courses, downloads, certificates, order information, or other Services.

You agree to:

• Provide accurate, complete, and current information;
• Maintain the confidentiality of your password and authentication credentials;
• Use only your own account unless organizational access is expressly authorized;
• Promptly update information that changes;
• Notify us of suspected unauthorized use; and
• Accept responsibility for activity conducted through your account to the extent permitted by law.

Individual accounts and course access may not be shared, sold, transferred, sublicensed, or made available to unauthorized users. Clinics and organizations requiring multi-user access must obtain an appropriate organizational license or written authorization.

We may require password resets, identity verification, or other security measures when reasonably necessary.

5. Products and Services

Wasabi Method may offer:

• Radial pressure wave or shockwave technology;
• Medical-device accessories and related equipment;
• Digital courses and educational modules;
• Live and virtual training;
• Conferences, summits, webinars, and demonstrations;
• Clinical and business resources;
• Technical, delivery, installation, or educational support;
• Practitioner and professional programs; and
• Other physical or digital products and services.

Product availability, specifications, inclusions, pricing, regulatory status, access periods, and eligibility requirements may vary by jurisdiction and are subject to the applicable product page, quotation, invoice, or written agreement.

6. Product Information and Images

We make reasonable efforts to display product descriptions, specifications, images, dimensions, features, pricing, and availability accurately. However:

• Screen colors and appearance may vary by device;
• Product images may be representative or illustrative;
• Packaging, interfaces, accessories, and minor design details may change;
• Photographs may include items not included with a purchase; and
• Typographical, photographic, pricing, or specification errors may occasionally occur.

The applicable product description, written quotation, invoice, and separately executed agreement determine what is included in your order.

For digital courses, product photographs and device images are illustrative only. No physical product, device, handpiece, accessory, or printed material is included unless the product listing expressly states otherwise.

We reserve the right to correct errors, update information, or cancel an affected order. If we cancel an order after payment because of our error or inability to supply it, we will issue the refund required by applicable law.

7. Orders and Order Acceptance

Submitting an order is an offer to purchase the identified product or Service. An automated order confirmation acknowledges receipt but does not necessarily constitute final acceptance.

We may accept, reject, limit, or cancel an order for legitimate reasons, including:

• Product unavailability;
• Pricing or description errors;
• Suspected fraud or unauthorized payment;
• Failed payment verification;
• Regulatory, import, export, sanctions, or licensing restrictions;
• Inability to deliver to the requested destination;
• Unauthorized coupon or promotional use;
• Quantity restrictions;
• Resale or diversion concerns; or
• Inaccurate customer or delivery information.

A contract for sale is formed when we expressly accept the order, capture or accept payment, provide digital access, ship the product, or execute a separate written sales agreement, depending on the transaction.

If we cancel an order after collecting payment, we will refund the applicable amount as required by law.

8. Pricing, Currency, Payment, and Taxes

Prices are shown in the currency displayed at checkout. Currency conversions provided by Shopify or a payment provider may be estimates, and your bank or payment provider may apply its own exchange rate or fees.

Unless expressly stated otherwise, displayed prices may exclude:

• Sales, use, value-added, goods and services, or similar taxes;
• Customs duties and import charges;
• International brokerage or clearance fees;
• Insurance;
• Installation;
• Training;
• Regulatory or registration costs;
• Financing charges;
• Special handling; and
• International or local delivery charges.

You agree to provide current, complete, and accurate payment and billing information. You authorize us and our payment providers to charge the amounts disclosed at checkout or in an accepted quotation.

If a price is clearly erroneous, we may contact you for instructions or cancel the affected order and issue an appropriate refund.

9. Financing

Financing may be offered through independent third-party providers. Financing approval, interest rates, payment schedules, fees, credit decisions, and financing terms are determined by the applicable provider.

Wasabi Method does not guarantee financing approval and is not responsible for an independent financing provider’s decisions, platform availability, or separate contractual terms.

A financing agreement does not alter product-use requirements, professional obligations, regulatory restrictions, or these Terms unless expressly stated in writing.

10. Shipping and Delivery

Shipping and delivery estimates are not guarantees unless expressly stated in a signed agreement.

Delivery may be affected by:

• Product availability;
• Manufacturing or preparation time;
• Carrier operations;
• Customs review;
• Import authorization;
• Weather;
• transportation interruptions;
• Incorrect delivery information;
• Local holidays;
• Force majeure events; and
• Other circumstances outside our reasonable control.

If we cannot ship within a promised period, we will provide any delay notice, cancellation option, or refund required by applicable law.

You are responsible for providing a complete, secure, and deliverable address. Additional costs caused by incorrect information, refused delivery, failed delivery attempts, storage, redirection, or address changes may be charged to you where permitted.

You should inspect physical shipments promptly and notify us of visible loss, shortage, or transit damage within the period stated in the delivery documents or applicable policy. This notice requirement does not eliminate rights that cannot lawfully be waived.

11. International Orders, Customs, and Imports

Wasabi Method may coordinate secure, insured international delivery from its United States or Australian operations. International availability is not a representation that a product may lawfully be imported, possessed, marketed, resold, or used in every jurisdiction.

Unless otherwise agreed in writing, the recipient is responsible for:

• Confirming that the product may be imported and used legally;
• Acting as importer of record where applicable;
• Obtaining required permits, approvals, registrations, or licenses;
• Paying customs duties, import taxes, brokerage, inspection, and clearance charges;
• Providing accurate customs and consignee information; and
• Complying with local medical-device, electrical, telecommunications, professional, and consumer laws.

International shipping charges may be quoted separately and may change if the destination, carrier, insurance requirements, customs treatment, or delivery circumstances change.

We may delay, decline, or cancel an international transaction when necessary to address regulatory, sanctions, fraud, delivery, or import concerns.

Nothing in this section transfers to a customer a legal responsibility that applicable consumer law places on Wasabi Method.

12. Medical Devices and Professional Equipment

Medical-device and professional-equipment purchases may be subject to a separate quotation, sales agreement, warranty, training requirement, or authorized-use restriction. If a separately signed agreement conflicts with these Terms, the signed agreement controls for that transaction.

By purchasing or using a device, you agree that:

• You are authorized to purchase and use it in the relevant jurisdiction;
• You will review and follow the current manufacturer labeling, instructions for use, safety information, maintenance requirements, and contraindications;
• You will ensure that operators receive appropriate education and training;
• You will use the device only within applicable law, professional scope of practice, and facility policy;
• You will maintain appropriate records, inspections, servicing, infection-control procedures, and professional insurance;
• You will not modify, reverse engineer, relabel, misuse, or operate the device contrary to its instructions;
• You will independently confirm the device’s regulatory status in your jurisdiction; and
• You remain responsible for patient selection, clinical judgment, informed consent, treatment settings, and patient care.

Educational discussion of a treatment technique, protocol, research finding, emerging application, or off-label use does not expand a device’s authorized indications or establish that the use is lawful or appropriate in your jurisdiction.

Product registration, listing, clearance, approval, authorization, inclusion, certification, or conformity assessment in one jurisdiction does not automatically establish market authorization in another.

13. Warranties, Repairs, and Technical Support

Any express device or product warranty will be described in the applicable warranty document, quotation, product page, or written agreement.

Warranty coverage may be conditioned on:

• Proper installation and operation;
• Following instructions for use;
• Appropriate maintenance and servicing;
• Use of approved accessories and consumables;
• Retaining purchase and serial-number records;
• Prompt reporting of a suspected defect; and
• Making the product reasonably available for inspection or service.

A warranty may exclude damage caused by misuse, accident, unauthorized modification, unapproved repair, improper electrical supply, liquid intrusion, neglect, unsuitable storage, ordinary wear, or operation contrary to instructions, subject to applicable law.

No express warranty replaces or limits consumer guarantees or statutory rights that cannot legally be excluded.

14. Digital Courses and Educational Products

Digital courses, videos, modules, downloads, and educational materials are licensed, not sold.

Unless a product page expressly states otherwise:

• Access is provided electronically;
• Course access is limited to the purchasing user;
• No physical device or product is included;
• Course materials may not be shared or redistributed;
• Access periods and completion requirements may vary;
• Internet access and compatible technology are your responsibility; and
• Access begins when login credentials, a download, or course availability is delivered.

You are responsible for meeting prerequisites, completing your own coursework, maintaining academic integrity, and confirming whether a program satisfies your professional or continuing-education requirements before purchasing.

A course certificate confirms only the completion or achievement expressly stated by that program. It does not:

• Grant a professional license;
• Expand a legal scope of practice;
• Establish competence for every procedure;
• Authorize use of a medical device;
• Guarantee acceptance by an employer, insurer, licensing board, or professional association;
• Confer hospital or facility privileges; or
• Guarantee a clinical or business outcome.

15. Digital-Content Cancellation Rights

Digital products are generally nonreturnable after access, streaming, downloading, or delivery begins, except where required by law or allowed by our Refund Policy.

Where applicable consumer law provides a withdrawal or cancellation period for digital content, we may request your express consent to immediate delivery and your acknowledgment that beginning performance may affect or end that statutory withdrawal right.

Nothing in these Terms removes a cancellation, refund, repair, replacement, or other remedy that cannot legally be waived.

16. Events, Conferences, and Live Training

Event dates, venues, faculty, schedules, content, formats, devices, demonstrations, sponsors, and continuing-education availability may change.

We may reasonably:

• Substitute speakers or instructors;
• Adjust schedules or topics;
• Change a venue;
• Convert an event between in-person, hybrid, and virtual formats;
• Limit attendance;
• Establish safety and conduct requirements;
• Refuse or remove disruptive attendees; or
• Reschedule or cancel an event.

Unless expressly stated otherwise, attendees are responsible for their own travel, lodging, meals, visas, insurance, licensure, and incidental expenses.

If Wasabi Method cancels an event, the applicable event terms and mandatory law determine whether registration fees are refunded, transferred, or credited. Wasabi Method is not responsible for independent travel, lodging, visa, or related expenses except where required by law.

Events may be photographed, streamed, or recorded. Any attendee release or media-consent terms will be presented during registration or at the event where appropriate.

17. Refunds, Returns, and Cancellations

Returns, refunds, exchanges, course cancellations, and event transfers are governed by our Refund Policy and any product-specific or event-specific terms disclosed before purchase.

The Refund Policy forms part of these Terms.

If a separate sales agreement, product warranty, event registration agreement, or mandatory law provides greater rights, those rights apply.

You should contact us before initiating a chargeback so that we have a reasonable opportunity to investigate and resolve the issue. This request does not limit any lawful right to dispute an unauthorized or incorrect charge.

18. Educational and Informational Purposes

Wasabi Method provides professional education and general information. Courses, protocols, presentations, demonstrations, research summaries, articles, videos, webinars, conferences, artificial intelligence-assisted content, and downloadable resources are provided for educational and informational purposes only.

They are not a substitute for:

• Individualized medical advice;
• Diagnosis or treatment;
• Emergency assessment;
• Legal or regulatory advice;
• Professional licensing advice;
• Tax or accounting advice;
• Customs or import advice; or
• Advice from an appropriately qualified professional familiar with your circumstances.

Users must independently evaluate information and determine its relevance to their profession, jurisdiction, facility, device, patient population, and circumstances.

19. No Healthcare Provider-Patient Relationship

Using the Services does not create a healthcare provider-patient relationship between you or any patient and:

• Wasabi Method;
• Dr. Adam Gavine;
• Any Wasabi Method employee, contractor, faculty member, speaker, contributor, sponsor, exhibitor, or directory provider.

Wasabi Method does not diagnose, treat, or manage individual patients through its storefront, courses, emails, social media, general contact forms, or educational content.

In a medical emergency, contact local emergency services or an appropriately licensed healthcare provider.

20. Independent Clinical Judgment and Scope of Practice

Healthcare professionals remain responsible for:

• Exercising independent clinical judgment;
• Reviewing each patient’s history;
• Performing an appropriate examination and assessment;
• Screening contraindications and precautions;
• Obtaining informed consent;
• Selecting appropriate treatment parameters;
• Documenting care;
• Monitoring outcomes and adverse events;
• Maintaining competence and professional insurance; and
• Complying with applicable standards of care.

Participation in a course or demonstration does not expand your legal scope of practice or establish that a technique is appropriate for a particular patient.

No medical, clinical, patient, professional, educational, financial, reimbursement, or business outcome is guaranteed.

21. Intellectual Property

Wasabi Method and its licensors retain all rights, title, and interest in the Services and their contents, including:

• Courses, curricula, protocols, and educational frameworks;
• Videos, recordings, photographs, graphics, and illustrations;
• Slides, handouts, templates, and downloads;
• Research summaries, compilations, databases, and directories;
• Website copy, design, software, and source materials;
• Product documentation and training materials;
• Logos, trade names, trademarks, and branding; and
• Other original content and proprietary materials.

These materials are protected by copyright, trademark, contract, database-right, unfair-competition, and other intellectual-property laws.

No purchase, enrollment, account, or website access transfers ownership of Wasabi Method intellectual property.

22. Limited License

Subject to these Terms, Wasabi Method grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable license to access purchased or publicly available content for lawful professional education and internal reference.

You may download or print materials only when that functionality is provided and only for personal professional use or expressly authorized internal organizational use.

You may not remove copyright, trademark, attribution, digital-rights-management, confidentiality, or proprietary notices.

Organizational, institutional, classroom, commercial, republication, licensing, translation, redistribution, or training use requires prior written permission or a separate license.

23. Prohibited Uses

You may not:

• Copy, reproduce, republish, distribute, sell, or commercially exploit protected content;
• Share account or course credentials;
• Record, capture, download, or redistribute content where not expressly permitted;
• Use Wasabi Method content to create a competing course, certification, database, protocol library, or membership;
• Use protected content to train or develop an artificial intelligence system without written permission;
• Scrape, crawl, harvest, index, or extract store, course, or directory content through unauthorized automated means;
• Reverse engineer, disrupt, overload, or circumvent website security;
• Upload malware or harmful code;
• Impersonate another person or misrepresent professional credentials;
• Submit unlawful, deceptive, defamatory, infringing, or misleading content;
• Use the Services for unlawful clinical, advertising, billing, regulatory, or commercial activity;
• Circumvent geographic, payment, licensing, or technical restrictions;
• Use directory or customer information for unsolicited communications;
• Purchase or divert products for unlawful resale, export, or use; or
• Violate any applicable law or the rights of another person.

Unauthorized use may result in order cancellation, account suspension, termination, or legal action.

24. User Content, Reviews, and Submissions

You retain ownership of content you lawfully own.

When you submit a review, testimonial, photograph, directory listing, comment, suggestion, or other content for publication, you grant Wasabi Method a worldwide, nonexclusive, royalty-free license to host, store, reproduce, format, display, distribute, moderate, and use that content as reasonably necessary to operate, promote, and improve the Services.

You represent that:

• You own the content or have permission to submit it;
• The content is accurate and not misleading;
• Publication will not violate confidentiality, privacy, publicity, intellectual-property, or other rights;
• The content does not contain patient-identifiable information submitted without lawful authorization; and
• The content complies with applicable law.

Do not send confidential, proprietary, patient-identifiable, or protected health information unless Wasabi Method has expressly agreed in writing to receive and protect it.

We may remove or decline to publish content that violates these Terms or creates legal, privacy, regulatory, or safety concerns.

25. Third-Party Services and Links

The Services may include third-party:

• Payment and financing services;
• Shipping and customs providers;
• Course and event platforms;
• Embedded videos;
• Social-media services;
• Analytics and advertising tools;
• Review services;
• Booking tools;
• External websites; and
• Manufacturer or distributor resources.

Wasabi Method does not control independent third parties and is not responsible for their availability, security, privacy practices, content, fees, products, warranties, or performance.

Your use of a third-party service is governed by that provider’s terms. A link or integration does not imply endorsement unless expressly stated.

26. Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

Do not submit patient medical records, protected health information, financial credentials, passwords, or sensitive personal information through public website functions, general email, social media, or unsecured contact forms.

27. Service Availability and Changes

We may add, modify, suspend, replace, or discontinue website functions, products, course features, instructors, materials, events, or other Services.

We will not knowingly deprive a customer of a materially prepaid Service without providing a remedy required by the applicable agreement or law.

We do not guarantee that the website or every digital Service will always be uninterrupted, error-free, compatible with every device, or available in every location.

28. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, DIGITAL SERVICES, EDUCATIONAL CONTENT, DIRECTORIES, EVENTS, SOFTWARE, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Except for an applicable written product warranty and rights that cannot legally be excluded, Wasabi Method disclaims express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, completeness, availability, professional recognition, clinical effectiveness, and regulatory compliance.

We do not warrant that:

• The Services will be uninterrupted or error-free;
• Information will always be complete or current;
• Every Service will be compatible with every device or system;
• A product or course is appropriate for every user or jurisdiction;
• A course will be accepted by a licensing or professional organization;
• A product will produce a particular clinical result; or
• Use of the Services will result in revenue, reimbursement, professional advancement, or business success.

These exclusions apply only to the maximum extent permitted by law.

29. Mandatory Consumer Rights

Nothing in these Terms excludes, restricts, or modifies a warranty, consumer guarantee, remedy, liability, or other right that cannot lawfully be excluded.

Australian Consumers

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.

For a major failure, you may be entitled to reject goods and choose a refund or replacement, or cancel a service and receive a refund for the unused portion or compensation for reduced value. You may also be entitled to compensation for reasonably foreseeable loss or damage.

You may be entitled to have goods repaired or replaced if they fail to be of acceptable quality and the failure is not a major failure.

European and United Kingdom Consumers

If you purchase as a consumer in the European Economic Area or United Kingdom, mandatory rights concerning pre-contract information, conformity, cancellation, withdrawal, refunds, digital content, and legal guarantees remain unaffected.

Professional or business purchases may not qualify for all consumer protections.

30. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WASABI METHOD AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, FACULTY, CONTRIBUTORS, AGENTS, AFFILIATES, LICENSORS, SPONSORS, EXHIBITORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

This includes losses relating to:

• Revenue, profits, business opportunities, or anticipated savings;
• Data, reputation, or goodwill;
• Patient outcomes or clinical decisions;
• Professional discipline, licensing, or credentialing;
• Device selection, use, maintenance, importation, or regulatory status;
• Billing, coding, reimbursement, or insurance;
• Travel, lodging, event changes, or cancellations;
• Reliance on educational, directory, artificial-intelligence, or third-party content; or
• Service interruptions outside our reasonable control.

To the fullest extent permitted by law, Wasabi Method’s total aggregate liability arising from the specific product, transaction, or Service giving rise to a claim will not exceed the greater of:

• The amount paid directly to Wasabi Method for that product, transaction, or Service; or
• One hundred United States dollars if no amount was paid.

This limitation does not apply to liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, or another category protected by applicable law.

31. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Wasabi Method and its members, managers, officers, employees, contractors, faculty, contributors, agents, affiliates, and licensors from third-party claims, damages, judgments, liabilities, penalties, and reasonable legal expenses arising from:

• Your material violation of these Terms;
• Your unlawful misuse of the Services;
• Your professional or clinical conduct;
• Your violation of law or professional standards;
• Your infringement of intellectual-property, privacy, or publicity rights;
• Content you submit;
• Your unauthorized disclosure of patient or confidential information; or
• Your unlawful import, export, resale, distribution, modification, or use of a product.

This provision does not require a consumer to indemnify Wasabi Method for Wasabi Method’s own negligence, unlawful conduct, or other liability that cannot legally be transferred.

32. Export Controls and Sanctions

Products, software, downloads, educational materials, technical information, and transactions may be subject to United States and foreign export controls, trade restrictions, embargoes, and economic sanctions.

You may not purchase, export, re-export, transfer, provide, or use a product or Service in violation of applicable law.

You represent that you:

• Are not a prohibited or blocked person;
• Are not acting for a prohibited person;
• Are not located in a jurisdiction where the transaction is prohibited; and
• Will not divert products or information to a prohibited destination, end user, or end use.

We may screen transactions, request additional information, refuse an order, or report activity when reasonably necessary for legal compliance.

33. Suspension and Termination

We may restrict, suspend, or terminate access when we reasonably believe you have:

• Violated these Terms;
• Shared accounts or protected content;
• Engaged in fraud or payment abuse;
• Threatened platform or event safety;
• Harassed users, faculty, staff, or attendees;
• Submitted unlawful or infringing material;
• Created a privacy, security, sanctions, regulatory, or legal risk; or
• Misrepresented your identity, authority, or credentials.

Where appropriate, we may provide notice and an opportunity to correct the violation. Immediate action may be taken when reasonably necessary to protect safety, security, legal compliance, intellectual property, or other users.

Termination does not affect rights or obligations that accrued before termination.

34. Force Majeure

Wasabi Method will not be liable for a delay, interruption, cancellation, or nonperformance caused by circumstances beyond its reasonable control, including:

• Natural disasters or severe weather;
• Fire, flood, earthquake, epidemic, or public-health emergency;
• War, terrorism, civil unrest, sanctions, or government action;
• Labor or transportation disruption;
• Power, internet, telecommunications, cloud, or payment-system failure;
• Cyberattack or platform outage;
• Venue closure or speaker incapacity;
• Supply-chain interruption;
• Carrier disruption; or
• Customs delay.

Where reasonable, we may substitute delivery methods, reschedule performance, replace a speaker, provide a credit, replace a product, or offer another remedy consistent with applicable law.

35. Electronic Communications

You consent to receive agreements, notices, disclosures, order information, invoices, and other communications electronically.

Electronic communications satisfy legal requirements that a communication be in writing to the extent permitted by law.

You are responsible for maintaining a current email address and reviewing communications concerning your purchases and accounts.

36. Governing Law and Venue

Except where mandatory consumer law provides otherwise, these Terms and disputes arising from them are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

Any lawsuit not subject to another binding written dispute-resolution agreement must be filed in an appropriate state or federal court located in Clark County, Nevada. You and Wasabi Method consent to the jurisdiction of those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply, except where its exclusion is prohibited or a separate written agreement expressly provides otherwise.

Consumers retain the benefit of mandatory protections and legally required forums available in their place of residence.

37. Severability

If a provision of these Terms is found unlawful, invalid, or unenforceable, it will be enforced to the maximum lawful extent or severed. The remaining provisions will continue in effect.

38. No Waiver

Failure to enforce a provision or exercise a right does not waive that provision or right.

A waiver is effective only if made in writing by an authorized Wasabi Method representative and applies only to the circumstances identified.

39. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Wasabi Method may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or transfer of the relevant business, subject to applicable law.

40. Entire Agreement

These Terms, together with our incorporated policies, applicable checkout disclosures, product warranties, quotations, program rules, and signed agreements, constitute the agreement concerning the Services.

If a separately signed agreement conflicts with these Terms, the signed agreement controls for the subject it specifically addresses.

Headings are provided for convenience and do not limit interpretation.

41. Changes to These Terms

We may update these Terms to reflect changes in law, technology, products, Services, or business operations.

Revised Terms become effective on the date stated in the updated version. Changes will not apply retroactively where prohibited.

Where legally required or commercially appropriate, we may provide additional notice or request renewed acceptance.
